By accessing and using Retro87's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms apply to all visitors, users, and clients who access or use our services.
Retro87 provides the following services:
- Custom software development and web applications
- DevOps and cloud infrastructure solutions
- AI and machine learning implementation
- IT security consulting and optimization
- Technical consulting and support
Specific services, deliverables, timelines, and pricing will be detailed in individual project agreements or statements of work.
When using our services, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of any account credentials
- Comply with all applicable laws and regulations
- Not use our services for any unlawful or prohibited activities
- Respect intellectual property rights
- Provide timely feedback and approvals for project milestones
- Make payments according to agreed-upon terms
Client-Owned IP
Unless otherwise agreed in writing, upon full payment, you will own the intellectual property rights to custom work created specifically for you, including:
- Custom code developed exclusively for your project
- Design assets created specifically for your use
- Project-specific documentation
Retro87-Owned IP
Retro87 retains ownership of:
- Pre-existing tools, frameworks, and libraries
- General methodologies and processes
- Reusable components and templates
- Knowledge and expertise gained during projects
- Payment terms will be specified in individual project agreements
- Invoices are typically due within 30 days unless otherwise agreed
- Late payments may incur interest charges as permitted by law
- We accept payments via bank transfer, credit card, or other agreed methods
- Prices are in Swedish Krona (SEK) unless otherwise specified
- All prices are exclusive of VAT unless stated otherwise
Project timelines are estimates based on the information provided and agreed scope. Delays may occur due to:
- Changes in project scope or requirements
- Delayed client feedback or approvals
- Technical challenges beyond reasonable anticipation
- Force majeure events
We will communicate any anticipated delays promptly and work with you to adjust timelines as needed.
We respect the confidentiality of your business information and project details. We will:
- Keep your proprietary information confidential
- Use information only for the purpose of providing services
- Not disclose information to third parties without your consent
- Return or destroy confidential information upon request
For projects requiring additional confidentiality measures, we are happy to sign separate Non-Disclosure Agreements (NDAs).
Our Warranties
We warrant that:
- Services will be performed with professional skill and care
- Work will conform to specifications agreed upon in writing
- We have the right to provide the services offered
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETRO87 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claim related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
Either party may terminate a project or service agreement:
- By mutual written agreement
- If the other party breaches material terms and fails to cure within 30 days
- If the other party becomes insolvent or enters bankruptcy
Upon termination, you will pay for all work completed up to the termination date. We will provide you with all work product completed as of that date.
These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our services shall be resolved in the courts of Sweden.
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date.
Your continued use of our services after changes constitutes acceptance of the modified Terms.
